Mylan, Pfizer Transaction to be Postponed Until Second Half of 2020

Mylan and Pfizer announced a postponement of the transaction that would see Mylan and Upjohn Combined until the second half of the year as a result of the current COVID-19 pandemic.

In a March 26, 2020 press release, Mylan and Pfizer announced a postponement of the transaction that would see Mylan and Upjohn Combined until the second half of the year as a result of the current COVID-19 pandemic.

Although the transaction will be delayed, there will be no other changes to the previously announced terms or plans regarding the transaction. The companies stated that there is continued work on the integration to ensure readiness for a successful close.

Furthermore, as a result of the increasing restrictions, particularly in The Netherlands where Mylan is based, Mylan’s extraordinary general meeting of shareholders has been rescheduled from April 27, 2020 to June 30, 2020 and will be hosted on the same day as the company’s annual general meeting.
